Version v1 — DRAFT, pending legal review
1. Who provides the service
Abraham is provided by Abraham AI LLC, a limited liability company of the
State of Wyoming, with its registered address at 312 W 2nd St, #2059, Casper,
WY 82601, Wyoming, United States.
2. What Abraham is
Abraham is an online service that processes audio files you upload and returns
results created from that audio, always at your request and under your control.
3. Your account
You need an account, must provide accurate information, and are responsible for
keeping it secure and for everything done through it.
4. Minimum age
The service is intended for people aged 18 or older. If we identify an account
belonging to someone under 18, we close the account, cancel any processing in
progress and delete the audio, the resources created from it and the associated
data, keeping only records the law requires us to keep.
5. What you upload
You remain the owner of the audio you upload. You represent that you hold all
necessary rights to that audio and that, where it contains another person's
voice, you have that person's express authorisation. Uploading unlawful
material or material that infringes third-party rights is prohibited.
6. Limited authorisation to Abraham
You authorise Abraham to store and process the uploaded audio solely to carry
out the requests you make in the service and to create the resources and
results you ask for. We do not use your audio for other purposes and do not
make it available to third parties for their own purposes.
7. Results
Results generated from your audio are yours, subject to any third-party rights
in the original work.
8. Credits, payment and refunds
Some actions consume credits, purchased in advance. Conditions are shown at
purchase. Refund policy: [TO BE DEFINED: period and conditions — proposal:
unused credits refundable within 7 days of purchase; credits already consumed
by processing are non-refundable]. Unused credits [TO BE DEFINED: remain in the
account with no expiry / expire after X months] and are not transferable or
convertible into cash outside the refund policy.
9. Acceptable use
You may not circumvent service limits, interfere with its operation, attempt to
extract how the service works internally, or use it to imitate someone's voice
without authorisation, to deceive others or for any unlawful act.
You also may not reverse engineer, decompile, disassemble or copy, in whole or
in part, Abraham's software, models and algorithms, except to the extent
applicable law expressly permits it.
10. Indemnity
You are fully responsible for the audio you upload and the requests you make.
If any third party brings a claim, notice, proceeding or demand relating to the
audio you uploaded or the results you obtained — including use of another
person's voice without authorisation, or infringement of copyright, image,
personality or contractual rights — you will defend and indemnify us against
resulting losses, costs, fines and legal fees, except where the claim arises
from our own act.
11. Content takedown and copyright
Anyone who believes content in the service infringes their rights may request
removal by writing to [E-MAIL], stating: identification
of the work, identification of the content or account involved, their contact
details, a good-faith statement that the use is unauthorised, and a statement
that the information is accurate. We review the request, may remove or block
the content, and notify the affected person, who may submit a counter-notice.
Repeat infringement may lead to account termination.
12. Availability and changes
The service may be changed, suspended or discontinued. When we publish a new
version of these Terms, we ask for a new acceptance on your next sign-in.
13. Termination
You may close your account at any time and request deletion of your data. We
may suspend or close accounts that breach these Terms.
14. Warranties and limitation of liability
The service is provided "as is". To the extent permitted by applicable law, we
are not liable for indirect damages, loss of data or lost profits, and our
total liability is limited to the amount you paid in the 12 months before the
event.
15. Governing law
These Terms and any dispute relating to Abraham are governed by the laws of the
State of Wyoming, United States, without regard to its conflict-of-laws rules.
16. Dispute resolution
1. Informal negotiation: before starting any formal proceeding, the
dissatisfied party must send a notice to [E-MAIL] describing the dispute. The
parties will have 30 days after receipt to try to resolve it.
2. Binding individual arbitration: if the dispute is not resolved within
that period, it will be submitted to binding individual arbitration conducted
by a recognised arbitration organisation in the United States before a single
arbitrator.
3. Class-action waiver: disputes will be resolved exclusively on an
individual basis. Neither party may participate in a class, consolidated or
representative action relating to the dispute.
4. Exceptions: either party may bring a dispute before a court of competent
jurisdiction for small claims. Nothing in this section prevents requests for
injunctive or other urgent relief to protect intellectual-property rights.
5. Costs: in consumer disputes, Abraham will pay the administrative and
arbitration fees unless the arbitrator finds the claim frivolous.
